Pavel Durov owns Telegram. He is the founder, chief executive and only known shareholder of the private messaging company, whose parent entity is registered in the British Virgin Islands and whose operations run from Dubai. Investors valued the business above $30 billion during bond talks in 2025, a figure Telegram has never confirmed.

Who owns Telegram today?
Durov told the Financial Times in March 2024 that he holds 100% of the equity. No venture firm, private equity fund or corporate investor has ever disclosed a stake.
Nikolai Durov co-founded the company and wrote the MTProto encryption protocol that carries its traffic. His shareholding, if he has one, has never been made public.
There is no disclosed employee option pool. Telegram has issued billions in debt instead of selling shares, which keeps outside capital in the form of creditors rather than owners.
The legal structure sits offshore. SEC filings from 2020 name Telegram Group Inc., a British Virgin Islands company, and its wholly owned subsidiary TON Issuer Inc. Day-to-day operations run through Telegram FZ-LLC in Dubai. The arrangement stands apart from peers such as OpenAI’s layered nonprofit and investor structure, where dozens of holders appear on the register.
Who controls Telegram?
Ownership and control are the same thing here. Durov is owner, sole director and chief executive, an arrangement Israeli institutional investors flagged as a concern during the 2025 bond roadshow reported by Calcalist.
Telegram publishes no board list, no audit committee and no independent oversight body. Bondholders hold covenants that protect repayment, not votes.
That concentration carries legal exposure. French police arrested Durov at Le Bourget airport on August 24, 2024, and prosecutors indicted him four days later on twelve counts tied to criminal activity on the platform. He was placed under judicial supervision, allowed to return to Dubai in March 2025, and had his remaining travel restrictions lifted in November 2025. The investigation has not closed.
Telegram’s funding and ownership history
Durov financed the 2013 launch himself, using proceeds from selling his stake in VKontakte, the Russian social network he founded in 2006 and left in 2014.
The first outside raise ended badly. Telegram sold roughly 2.9 billion Gram tokens to 171 purchasers in 2018, raising about $1.7 billion. The SEC sued in October 2019, and in June 2020 a court approved a settlement requiring $1.224 billion returned to buyers and an $18.5 million civil penalty.
Bonds replaced tokens. In 2021 the company placed about $2.3 billion of five-year notes carrying a 7% coupon and maturing on March 22, 2026, convertible into shares at a discount if an IPO happened first.
A second issue followed on May 28, 2025: $1.7 billion at a 9% coupon, of which $954.6 million refinanced the older notes and $745.4 million arrived as fresh cash. Durov said in March 2026 that the 2021 bonds had been repaid in full.
Telegram revenue by reporting period (USD millions)
Financial disclosure improved alongside the debt. Revenue reached $343 million in 2023 against a $173 million net loss, then $1.4 billion in 2024 with a $540 million profit, the company’s first. First-half 2025 revenue rose 65% to $870 million, though a writedown on Toncoin holdings produced a net loss above $220 million.
Who are the biggest investors in Telegram?
Every name below holds debt, not equity. Their claim converts into shares only if Telegram lists before 2030, at a 20% discount to the offer price.
- Mubadala Investment Company, the Abu Dhabi sovereign fund, participated in the 2021 issue and returned in 2025
- Abu Dhabi Catalyst Partners, a Mubadala affiliate, joined the 2021 round
- BlackRock took part in the May 2025 offering, according to the Wall Street Journal
- Citadel entered as a new participant in 2025
Around $500 million of Telegram paper sat frozen at Russia’s National Settlement Depository as of January 2026 because of Western sanctions. Durov responded that no Russian investors took part in the 2025 sale. Founders weighing similar instruments can compare terms in this breakdown of equity and cap table mechanics.
Is Telegram publicly traded?
No. Telegram has no ticker and no exchange listing. Its bonds trade institutionally, but the equity is not available to any investor.
Durov raised the idea of a US listing in his March 2024 Financial Times interview. Company executives told bondholders in early 2026 that the French case needs resolution before a listing can proceed. Telegram sits among the private names in this running list of pre-listing tech companies.
